How do I create and sign a SAFE through Stack?
You can issue and sign SAFEs directly through Stack through a single link. Investors will be able to view the SAFE, sign, view your wire details, and return to you for a countersignature.

Do SAFEs generated on Stack include pro-rata rights?
Our SAFE does not include pro rata rights by default. On our fundraising tool, if you indicate that the fundraising round has pro rata rights for everyone, then our SAFE tool will automatically generate the Pro Rata Side Letter alongside it. If you've already executed the SAFE and intend to give pro-rata rights, then, you should sign a pro-rata side letter with the investor(s).
How can I make edits to the SAFE template?
The SAFEs used in the Stack signing tool are standard YC SAFEs, which can't be edited.
If you need to include terms in the SAFE that differ from the template version, we suggest signing a SAFE off-platform and uploading the document using the instructions here.
Alternatively, you can sign a standard SAFE on Stack and draw up custom side letters for your investors. Stack doesn't have a template for side letters, but we can introduce you to lawyers who can help draw this up.
I just countersigned a SAFE. Where can I see and download the executed SAFE?
You can view your SAFE by clicking on the on entry under Fundraising Rounds and selecting "Download Document" from the Actions tab, or by navigating to Cap Table > Convertibles.

Can I create a data room through Stack?
Yes! You can create multiple data rooms and even attach them to your SAFE instant closing links to share with investors. For more details, see the data rooms page.

Before raising funds with a SAFE, the Board authorizes the round and investment instrument. Stack has a quick, easy way of creating the board consent and signing it on the platform. For more on board consents, see the board consent page.

How can I create an RUV inside Stack?
You can create and manage your RUV inside Stack. If you have RUV specific questions, please reach out to the RUV team at rollups@angel.co.
To create an RUV, go to Fundraising
> select a round > Create RUV

Can I generate and sign a SAFT, token warrant, or token side letter on the platform?
Stack doesn't have a tool for signing token warrants or other crypto investment instruments, but this is something we're thinking about.
Can I generate and sign a convertible note through Stack?
Stack currently supports SAFE generation and signing. Convertible note signing is not supported on the platform.
If you sign a convertible note, you can upload it to Stack for tracking in your cap table, and your investors can still access an investor dashboard. To see how to do this, check out "How do I upload a SAFE that was signed off-platform?"

Where can I find some of the documents my investors have asked for?
Congratulations on the potential funding! Below are common documents investors request and where to find them.
Cap table detailing the company's ownership structure: Cap Table > Ownership.
Wire instructions: Banking > Accounts > select an account > ACH/Wire instructions PDF.
Certificate of Incorporation, Bylaws, Action of Incorporator: Legal > Documents.
Initial resolutions of the board of directors addressing organizational matters: Legal > Documents.
All Founder Stock Purchase Agreements, Option Agreements and/or Vesting Agreements: Included in the Documents section within each share certificate on Cap Table > Shares.
Evidence of filed 83(b) elections (mailing receipt or file-stamped 83(b) election): If you filed an 83(b) election, you should save the mailing receipt for proof of mailing. After you receive your stamped election from the IRS, you should save that. To read more about the Stack 83(b) election process, see here.
Receipts issued by the company for founder shares or evidence of payment (e.g., wire receipt or check): If you funded your SPA via a wire or ACH payment to your Stack bank account, it will be reflected in your transaction history on Banking > Transactions.
Intellectual Property (IP) assignment for each founder (including future/forward-looking IP assignment): If you incorporated through Stack, your technology assignment documents can be found under Legal > Documents or in the Final Docs folder attached to your Welcome to Stack email.
