🧩 Creating Your Cap Table
What is the process of adding my cap table to Stack?
To add your cap table to Stack, you'll need to:
Create an account
Create share classes
Add shareholders
Add share certificates
Add previous investment documents
Upload legal documents
Once that's done, your cap table will be fully migrated and you can go on to use other platform tools.
How do I create a share class?
Add a new share class by going to Cap Table > Share Classes and clicking on “New." You can find the information about what share classes have been authorized for your company in your Certificate of Incorporation.
How do I add shareholders?
Add shareholders by going to Cap Table > Shareholders and clicking on “New." This needs to be done for all founders and investors.
How do I add share certificates?
Add share certificates by going to Cap Table > Shares and clicking on “New Share Certificate”. This needs to be done for all founders in order to complete the initial cap table. Later, you can do this for any issuances to advisors or others.
How do I add previous investment documents?
To upload previously signed SAFEs or other investment documents which differ from the standard YC SAFE, add all your investors (both individuals and entities) as shareholders. Then navigate to Cap Table > Convertibles and click “Add” in the SAFEs table and enter all the details of the round. To add convertibles, click “Add” in the Convertible Debt table.

How do I upload other legal documents? Which legal documents should I upload?
Navigate to Legal > Documents and upload your legal documents. We recommend you upload your Certificate of Incorporation, any previous Board Consents, Action of the Incorporator, Bylaws, etc. By clicking on the purple circles below, we’ll walk you through the exactly how to upload these files.

Where do I find my state of incorporation and date of incorporation?
The state of incorporation and date of incorporation will be included in the Certificate of Incorporation on the first page.
Where do I find my company’s total number of shares and authorization dates?
The total number of shares will be included in Section 4 of the Certificate of Incorporation and the shares are authorized as of the date the Certificate of Incorporation is filed.
Where do I find my shares certificates’ issue date, purchase price, and the number of shares granted?
The issue date, the number of shares granted, and the purchase price can be found in the preamble and Section 1 on the first page of your Stock Purchase Agreement.
Where do I find the founder Stock Purchase Agreement(s)?
Founder Stock Purchase Agreements (“SPA”) are typically created at the same time the company is formed. The top of the SPA will say "Stock Purchase Agreement."
Where do I find the vesting schedule and vesting commencement date for my shares?
The vesting commencement date is included in your stock purchase agreement as a defined term. Your vesting schedule is included in section 2(b) (Lapse of Repurchase Right) of your SPA.
Where do I find the board approval date for the initial issuance of shares?
You will be provided with a Board Consent approving several corporate actions as part of the suite of incorporation documents we provide. The Board Consent will include approval of the initial issuance of shares and the effective date is the date of the last signature received on the Board Consent.
Where do I find the federal and state exemptions for my shares?
Federal exemptions are primarily regulated by The Securities and Exchange Act of 1934 ("1934 Act," or "Exchange Act"). State exemptions require a state-by-state “blue sky” analysis. You should consult with your attorney to confirm both federal and state exemptions under which you would like to issue equity.
What is Rule 144 and which date should I use for it?
When you acquire restricted securities, you must find an exemption from the SEC's registration requirements to sell them in a public marketplace. Rule 144 allows public resale of restricted securities if a number of conditions are met. The date used should be the date of the actual transfer.
Where can I find the total cash paid and value of IP transferred for my shares in a sample board consent?
This will be included as an approval in the initial Board Consent you receive as part of the incorporation of your Company on Stack.
Where do I find the legend for my shares in a sample Stock Purchase Agreement?
The legend for your shares can be found in Section 8 of the Stock Purchase Agreement.
I was issued shares before onboarding onto Stack. What happens to my previous issuance?
All shares that have been approved by your Company’s Board of Directors, properly paid for and accounted for on the Company’s financial ledgers can be uploaded to Stack and can be managed on Stack once included on the Company’s capitalization table.
I've already issued paper certificates. Can I still issue electronic shares?
Electronic shares are essentially the same as paper certificates. A company can issue certificates in either form without having to amend its Certificate of Incorporation or Bylaws.
